Enterprise Package UK Company Formation

Our ENTERPRISE package includes a UK Professional Resident Director and/or Shareholder service, providing a high level of privacy protection. A company bank account at a major UK bank is also a key feature, with a UK registered office address together with mail-forwarding and full company secretarial & register maintenance services also being provided.

Our fees include up to 2 hours of post-incorporation advice and assistance either face-to-face, by telephone or by email, on understanding and using your company in terms of legal, accounting and tax requirements.

This package has been tailored to suit clients who are not UK-residents looking to establish UK-based management and control of their UK company, particularly those seeking enhanced asset protection, privacy and confidentiality with regard to their businesses and wealth management. Use of a UK Professional Resident Director and/or Shareholder can enable this.

Thanks to the professional relationship which we have built up over the years with our UK-based banking partners, our dedicated Bank Account Management Department handles the bank account opening procedure for our clients’ UK companies. (A face-to-face meeting with the client in London is required in all cases).*

Due to increasingly strict regulations, many major banks in the UK will prefer to open accounts for UK companies with UK-based officers, for example, in the case of businesses with certain commercial activities and levels of turnover. By using our UK Professional Resident Directors/Shareholder service, our international clients can fulfill that criterion.

Based on the fiduciary concept, professional Directors/Shareholders are frequently used in the UK and this practice is compliant with English law.

We have built up a long-term working relationship with all our UK-based professional Directors and Shareholders; they will never undertake any work on behalf of clients’ companies without prior written instructions.

The registered office and correspondence address for your company will be situated at our premium central London address and all mail received will be forwarded to you anywhere in the world. (Postage fees for forwarding mail are charged at standard UK postal rates plus 10 pence per item).

As a UK company you will be statutorily obliged to retain Company Registers in the UK. Our Full Company Secretarial Service covers this requirement, as well as the completion and filing of your Annual Return (an annual document confirming the details of addresses, directors, shareholders, business activities etc). We will also take care of basic administrational changes in your company structure, e.g. appointment and termination of director appointments.

Why Use Our UK Professional Resident Director/Shareholder Service?

UK Limited Companies are required by law to have at least one Director and one Shareholder.

The names of the Director(s) and Shareholder(s) are recorded by Companies House, the UK company register, and are available for public inspection. By using our UK Professional Resident Director/Shareholder Service their name will appear on record rather than yours.

This service is also of particular interest to clients seeking an additional level of asset protection, privacy and confidentiality with regard to their businesses and wealth management.

  • Selecting our most appropriate UK-based banking partner
  • Preparing the official bank forms and arranging signature by the individuals involved
  • Organising all personal and corporate due diligence documents required for the application
  • Arranging and accompanying you to a face-to-face bank meeting in London+
  • Liaising with the bank to provide any additional information required
  • Receiving bank account opening confirmation on your behalf
  • Sending all banking tools to you (cards, internet devices…)

Bank Signatory Services

In accordance with our due diligence procedures and to protect the interests of our professionals, it is our policy for us to be at least joint signatory on company bank accounts opened for companies using our UK Professional Director/Shareholder service.

Acting as a Director/Shareholder in a company is a great responsibility. By being (joint) signatory, our Directors/Shareholders are able to ensure that the company they are acting in is:

  • Respecting anti-money laundering regulations
  • Carrying out its activities in the proper manner
  • Remaining compliant with the bank’s regulations

When providing professional bank signatories we also manage the administration of the bank account for you.

Bank Account Administration Services

When you outsource the management of your corporate bank account to our dedicated Bank Account Management Department, you will be able to spend more time focusing on your principal commercial activities.

Our bank account administration service includes:

  • Forwarding transfer requests to the bank on your behalf
  • Being authorised to contact the bank for transaction and balance updates
  • Organising the payment of invoices for your company
  • Adding money to charge cards
  • Bank statement forwarding
  • Liaison with the bank to obtain important commercial documents such as letters of credit and bank guarantees
  • 10 transactions per year are included in our annual fee. Additional transfers are charged at £10 each

When analysing your specific situation and assessing your banking needs, we will look at your proposed company activities, trading countries and estimated turnover, amongst other information.

This enables us to only present suitable dossiers to our UK banking partners and to select the most appropriate UK-based banking partner for you.

Certain groups of individuals, countries and business activities pose a high risk to financial institutions. These include, for example, countries identified as supporting international terrorism, jurisdictions determined to be of primary money laundering concerns and subject to special measures, and those with insufficient procedures for combating money laundering and terrorism, amongst others.

Particular individuals, such as Politically Exposed Persons (PEPs), are considered as ‘high risk’ too.

Examples of areas of commercial activities deemed as unacceptable by the UK banks we work with:

  • Trading of pharmaceutical products (online or otherwise)
  • Wholesale trade of mobile telephones and/or electronic computer components
  • Wholesale trade of cigarettes and other tobacco products
  • Online gaming and related activities
  • Dating agencies
  • Promotion of adult content websites and related industries
  • Production and/or trade of weapons and military arms
  • R-insurance business
  • Businesses offering to provide financial services to their clients, e.g. insurance brokerage, securities investment services, electronic money transfer systems or other regulated activities where no proper licence has been obtained from the competent authorities where the activities are carried out
  • Businesses that intend to use the account to hold funds on behalf of clients
  • Firms offering alternative payment systems e.g. e-gold and e-cash, etc.
  • Companies that intend to use the account to offer unlicensed clearing services / third party settlements for investments and securities, etc.

* Bank Account Applications - Please be advised that our bank introduction fee does not guarantee a successful opening of a bank account. We can only undertake to introduce you to the bank and assist you with the completion of the application forms and process. The final decision lies with the bank themselves as all banks have their own T&C's, ID requirements and opening criteria. It is entirely within the banks rights to accept or reject applications for accounts, and their prerogative as to whether they explain their reasons for rejecting an application.

If we have completed and submitted all the necessary paperwork for your bank account application, and the account application is rejected by the bank, we reserve the right to retain all fees paid in consideration of our time and attention spent on the application.

As an international customer, this package includes FedEx delivery of your formation documents anywhere in the world, ensuring safe arrival.
