When you form a Limited Company you may be unaware of the administrational requirements that come with it, such as the obligation to maintain the Statutory Books.
The statutory books are made up of a number of different registers that a company must retain containing information on the company and those that control it. The main registers that you are required to retain are as follows:
Each time a change occurs then it must be reflected in the Statutory Books. Traditionally this was a role fulfilled by the company secretary but, as private companies are no longer obliged to have a secretary, it usually falls on the director(s) to maintain these registers.
The Statutory Books must be retained either at the Registered Office or at the “Single Alternative Inspection Location” (the SAIL address). A company must allow members of the public to inspect its registers at one of these locations upon them giving the requisite notice, including the purpose for which the information is required, and you may charge them a reasonable fee.
You may object to the inspection if you believe that the information is not being requested for a ‘Proper Purpose’ but you must do so through the courts.
We offer a Maintenance of Statutory Books service whereby we will take responsibility for maintaining your company’s statutory books in our offices. Whenever you need to make a change, just let us know and we will update the registers.
If anyone wishes to inspect your company’s Statutory Books then they may do so at our offices and under our supervision.
Not only this, but for changes to officers and shareholders, we will also prepare the minutes & statutory forms to effect the change, and register them with Companies House where necessary (up to three changes to officers and up to three changes in shareholders in each year).
Finally, we also file your company’s Annual Confirmation Statement, including the Companies House filing fee.
This service is available for £120 + vat per annum, though we discount this to £100 + vat for your first year.
