We can offer a range of Nominee Services to maintain the anonymity of the beneficial owners of the company, or to enable the company to meet its statutory obligations.
Nominee Director
Every UK Company must have at least one director who is a natural person.
If the Directors of a company wish to remain anonymous, we can provide a South African individual resident in South Africa and/or a UK registered company to be appointed as a Director of the company with Companies House.
The annual fee for the nominee director service is £200 + Vat and includes a Power of Attorney made out to the Beneficial Owner of the company, along with Letters of Authority, to enable them to carry out the ordinary business of the company.
If the UK based corporate entity is utilised then any document required to be signed by them is included in the annual fee. If, however, any documents need to be signed by the South African resident director then courier fees may be incurred.
UK Banks do not look favourably upon the usage of nominee directors and if you take this service you may have difficulty opening a bank account, though certified copies of the identification of the Directors will be provided upon request at a reasonable fee. We can also assist in the opening of bank accounts with FBME Bank in Cyprus.
Nominee Secretary
We will provide a UK registered company to be appointed as the Company Secretary with Companies House. This service can be used when the company is statutorily obliged to appoint a Company Secretary (e.g. in a Public Limited Company) or where an additional signatory is required on documents.
We will act as Secretary in name only and the service does not include the performance of secretarial duties. The service does, however, include the signing of documents in the capacity of secretary when requested.
The fees for this service are £100 + Vat per annum.
Nominee Shareholder
Should the shareholders of the company not wish their shareholding to be public knowledge then we can hold the shares of the company though one or more UK registered companies as nominees for the beneficial owner.
We will sign a declaration of trust stating that the beneficial ownership lies with your client and that we will vote for all resolutions in accordance with the beneficial owner’s instructions. We will also renounce all dividends in favour of the beneficial owner.
The fees for the Nominee Shareholder service are £100 + Vat per beneficial owner, per annum.
Money Laundering Regulations
We are required to perform checks to confirm the identity of all the company’s beneficial owners.
We will request certified copies of one photographic ID, which can be either:
- Current Passport; or
- Current UK Photo Drivers Licence
and two forms of proof of address, which can take the form of a:
- Utility bill no older than 3 months and not a mobile phone bill;
- Bank/building society statement no older than 3 months;
- Current UK Photo Drivers Licence (Can only be used if not provided as photographic ID)
You may supply two different utility bills or two different bank or credit card statements from different accounts)
